1. ABOUT THESE TERMS
These Terms of Use ("Terms") govern your use of the website at raydius.co and the free resources we offer through it, including the Visitor Blueprint. They are an agreement between you and Raydius Corporation ("Raydius," "we," "us").
By using this website, requesting a Visitor Blueprint, booking a session with us, subscribing to our email list, or downloading a resource, you agree to these Terms. If you do not agree, please do not use the site.
Our Privacy Policy explains how we handle personal information and is available at raydius.co/privacy.
2. RELATIONSHIP TO A SIGNED SERVICES AGREEMENT
These Terms cover use of our website and our free resources. They do not govern the services we provide to clients.
If you become a Raydius client, our written services agreement governs that relationship. If anything in these Terms conflicts with a signed services agreement between you and Raydius, the signed agreement controls. Nothing in these Terms limits, reduces, or modifies any right, remedy, or guarantee given to you in a signed services agreement.
3. WHO MAY USE THIS SITE
This site is intended for business owners, operators, and their representatives. It is not directed to consumers or to children.
You must be at least 18 years old to use this site. If you use this site or request a Visitor Blueprint on behalf of a company, you represent that you are authorized to do so on that company's behalf.
4. THE VISITOR BLUEPRINT
What it is. The Visitor Blueprint is a market analysis we prepare and review with you at no charge. It typically includes estimated market size, your estimated share of that market, competitor share estimates, and priority ZIP codes or trade areas.
The Blueprint is an analysis, not advice. It is one input into your business decisions, not a substitute for your own judgment, and not financial, legal, accounting, or investment advice. You remain responsible for decisions you make.
Eligibility and our discretion. The Blueprint is complimentary for qualified locations. We decide who qualifies. We may decline, limit, delay, or discontinue a Blueprint request at any time, for any reason, without explanation.
Scheduling and missed sessions. We begin preparing your Blueprint before your scheduled session, which means a missed session costs us work already done. If you cannot attend, please reschedule in advance.
If you miss a scheduled session without notice, we may treat the session as forfeited. After repeated missed sessions, we may decline to reschedule.
What you may do with your Blueprint. If we prepare a Blueprint for you, you may keep it and use it for your own internal business purposes, whether or not you become a client.
You may not share, publish, post, or distribute it outside your organization; provide it to a competitor of Raydius, or to any agency, consultant, or vendor; use it to brief, instruct, or solicit a proposal from another provider; resell it, license it, or make it available as part of any product or service; or remove or obscure any attribution, notice, or branding it carries.
Raydius retains all rights in the Blueprint, including its structure, format, scoring, analysis, and methodology. We grant you the internal-use permission described above and nothing more.
Third-party data in your Blueprint. The Blueprint incorporates data licensed from third-party providers. That data remains subject to the provider's own terms, which may restrict how it can be shared or displayed. Your permission to use the Blueprint is limited accordingly, and we may need to include attribution to a data provider.
5. THIRD-PARTY DATA, ESTIMATES, AND ANALYTICS
Our analysis relies substantially on third-party location datasets derived from opt-in mobile device panels.
This data consists of modeled estimates, not measurements. Providers extrapolate from a sample panel and apply statistical modeling to correct for panel bias, in a manner comparable to polling with a margin of error. It is not a count of visitors, it is not audited, and its accuracy varies by geography, by property type, and over time. Accuracy is generally lower for properties inside multi-tenant buildings and centers.
We select reputable providers and apply our own quality checks, but we cannot and do not warrant that third-party data is accurate, complete, or current. Our data providers disclaim accuracy in their own terms, and we cannot offer you more than we receive.
Figures in a Blueprint, on this site, or in any Raydius material are estimates and should be treated as directional.
6. PERFORMANCE CLAIMS, CASE STUDIES, AND TESTIMONIALS
This site contains performance figures, case studies, client results, and testimonials.
These are illustrative examples of outcomes achieved in specific markets under specific conditions. They are not typical results, not projections, and not a promise of what you will achieve. Results depend on your market, competitive set, venue, operations, budget, pricing, staffing, seasonality, and factors outside anyone's control.
Testimonials and named venues appear with permission. Individuals quoted are current or former Raydius clients and had a business relationship with us at the time.
This section disclaims marketing statements on this website only. It does not limit any written guarantee contained in a signed services agreement. If you are a Raydius client with a contractual guarantee, that guarantee is unaffected by anything in this section.
7. OUR INTELLECTUAL PROPERTY
The content on this site, including text, graphics, reports, templates, video, and the site itself, belongs to Raydius or our licensors.
This includes our methodologies and the frameworks we use to deliver them, including the D.A.R.T. methodology, the Visitor Generation System, our market scoring approach, and the format and structure of the Visitor Blueprint.
You may view this site and share links to it. You may not copy, reproduce, republish, or create derivative works from our content without our written permission.
Raydius names, logos, and marks are ours. Nothing here grants you a license to use them.
8. PROHIBITED CONDUCT
You agree not to scrape, crawl, harvest, or use automated means to access or collect from this site, except for search engine indexing we permit; reverse engineer, decompile, or attempt to derive our methodologies, scoring models, or analytical approach from our outputs; frame, mirror, or embed this site or its content elsewhere; access this site or request a Blueprint in order to gather competitive intelligence about Raydius, our methods, our pricing, or our clients; request a Blueprint on behalf of, or for the benefit of, a competitor of Raydius; misrepresent your identity, your venue, your role, or your reason for contacting us; interfere with the operation or security of the site; or use the site in violation of any law.
We may refuse service, block access, or withdraw a Blueprint if we believe this section has been violated.
9. EMAIL AND COMMUNICATIONS
If you subscribe or submit a form, we may send you email relevant to your business role. Every marketing email includes an unsubscribe link. See our Privacy Policy for details.
We do not currently send SMS or text-message marketing.
10. THIRD-PARTY SERVICES AND LINKS
This site uses third-party services for scheduling, forms, analytics, document signing, and payment. Some pages embed tools operated by other companies.
Those services are governed by their own terms and privacy policies, not ours. We are not responsible for them. Links to other websites are provided for convenience and are not endorsements.
11. DISCLAIMER OF WARRANTIES
This site and our free resources are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the site will be uninterrupted, secure, or error-free, or that any content, figure, or estimate is accurate or complete.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Raydius is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from your use of this site or any free resource, even if we were advised such damages were possible.
Because this site and the Visitor Blueprint are provided at no charge, our total liability to you relating to this site and our free resources is zero dollars ($0).
This section does not apply to obligations under a signed services agreement, which has its own liability terms.
Some jurisdictions do not allow certain limitations. Where that is the case, the limitations above apply to the maximum extent permitted.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Raydius and its officers, employees, and contractors from any claim, loss, or expense, including reasonable attorneys' fees, arising from your breach of these Terms, your misuse of this site, or your unauthorized use or distribution of a Visitor Blueprint.
14. DISPUTE RESOLUTION
Governing law. These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules.
Informal resolution first. Before starting a formal proceeding, please contact us so we can try to resolve the matter directly. We ask for 30 days to do so.
Arbitration. Any dispute arising out of or relating to these Terms or your use of this site that is not resolved informally will be settled by binding arbitration before a single arbitrator, seated in Wisconsin, administered under the rules of a recognized arbitration provider. Judgment on the award may be entered in any court of competent jurisdiction. The arbitration and the award will be kept confidential except as required by law.
Carve-outs. Either party may go to court, without arbitrating first, to seek injunctive or other equitable relief, to pursue collection of amounts owed, or to protect intellectual property rights.
No class actions. Disputes will be resolved individually. Neither party may bring a class, collective, or representative action.
Venue for court proceedings. Any court action permitted above will be brought in the state or federal courts serving St. Croix County, Wisconsin, and both parties consent to that venue.
15. CHANGES TO THESE TERMS
We may update these Terms. When we do, we will change the Effective Date above. Significant changes will be noted on the site. Continuing to use the site after a change means you accept the updated Terms.
16. GENERAL
If any provision of these Terms is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between us regarding this website. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
